1.About us and key words
Ledger Technology PLC ("Ledger", "we") is located at Lemi Kura, Woreda 8, Addis Ababa, Ethiopia. Contact us at info@ledger.et, including for formal notices.
- "Customer" or "you": the business that subscribes to Ledger.
- "User": a person you allow to use your account.
- "Customer Data": the information you or your users enter or store in Ledger, including invoices, customer and supplier details, tax numbers and attachments.
- "Order": the plan and conditions you accept online or in writing, including any offer we send you.
2.Accepting these Terms
- You accept these Terms by ticking the acceptance box when you register, by accepting an Order online, or by signing an agreement. Under the Electronic Transactions Proclamation No. 1205/2020, accepting electronically has the same legal effect as signing on paper. We keep a record of the user who accepted, with the date and time.
- The person who accepts must have authority to commit the business.
- Accountants or advisers who use Ledger for a client must have that client's authorisation.
- If an Order and these Terms differ on a point, the Order applies to that point. Your own purchase order does not change these Terms unless we agree in writing.
3.The service
- Ledger is an online electronic invoicing and business management service. It runs in a web browser; you do not buy software or a machine.
- We give you the right to use Ledger for your own business while your subscription is active. You may not resell or share access.
- Ledger has obtained certification from INSA and the Ministry of Revenues. Ledger is an independent company, not a government service.
- What is included depends on your plan (section 10). Features shown in a demo or in our plans for the future are not included unless they are in your Order.
4.Getting started: your credentials
- To issue registered invoices, your business needs its own registrations and credentials, such as TIN, VAT registration, branch details, system numbers and digital certificates. Ledger's certification does not register your business.
- We guide you through the process, but we cannot obtain these credentials for you or guarantee when the authority will approve them.
- Send credentials only through the secure method we give you, never by email, Telegram or chat. Tell us at once if a credential changes, expires or may have been compromised.
5.Your responsibility for your invoices and taxes
- You are responsible for the accuracy of the sales, buyers, prices, tax rates and other information you enter.
- Ledger calculates and registers invoices based on that information. It does not replace your accountant or tax adviser. You remain responsible for filing tax returns, paying taxes and keeping the records the law requires.
- Do not falsify records, use another taxpayer's details, change dates to avoid controls, or present an unregistered document as registered.
- To correct a registered invoice, use a credit note, a debit note or the official cancellation process.
6.Registration with the Ministry
- An invoice is registered only when it shows the official number (IRN) and the QR code returned by the Ministry's system. A draft, a PDF, or an invoice marked pending, failed or rejected is not registered.
- Check alerts and pending invoices regularly. If the connection fails, check the status of the invoice before issuing the same sale again, so that you do not create duplicates.
- The Ministry controls its own system, rules and availability. We cannot guarantee that every invoice will be accepted or that its system will always be available. We handle problems on our side with care and tell you about known incidents.
7.Offline sales
Ledger has developed offline sales, but they can only be used once the Ministry of Revenues' system supports them. We will tell you when this is available. From then on, offline sales must follow the Ministry's rules: invoices issued offline must be sent for registration as soon as the connection returns, within the time the Ministry sets. Offline mode is not permission to issue unregistered invoices.
8.Equipment and security
- You provide your own computers, tablets, phones, internet connection and printers.
- You manage your users and their permissions. Each person should have their own login. Remove users who leave your business.
- Your administrator can see the activity of your users. Please tell your staff about this.
- Report any suspected unauthorised access at once to info@ledger.et.
9.Acceptable use
Do not use Ledger for illegal transactions or fraud; do not try to break its security or reach other customers' data; do not copy, resell or reverse engineer the service, except where the law allows it; and do not overload the service. If you connect other software, you are responsible for that software and for the data it sends.
10.Plans and prices
Our published plans, with prices per month excluding VAT:
- Shop: ETB 2,995. 1 shop and 2 users.
- Multi-Branch: ETB 4,995. 3 shops and 5 users.
- Chain: ETB 7,995. 10 shops and 25 users.
- Enterprise: for 11 shops and 26 users or more. Monthly price = ETB 7,995 + ETB 595 for each shop above 10 + ETB 295 for each user above 25.
Every plan includes unlimited invoices. An extra shop costs ETB 595 per month and an extra user ETB 295 per month. A "shop" is a branch registered with the Ministry of Revenues as an establishment.
VAT (15%) is added to all prices. Full details of each plan are on our website, ledger.et.
11.Free trial
We may offer a free trial. Its length and conditions are agreed with each customer in the Order. When the trial ends, the subscription continues only if you have accepted a paid Order. During the trial:
- the service is free of charge, so that you can evaluate it;
- the invoices you register are real, official invoices;
- our total liability is limited to ETB 10,000, except where the law does not allow a limit (section 18).
12.Payment
- Monthly plans are billed in advance each month.
- Yearly plans: you pay for 10 months and get 12 (2 months free). The full yearly amount is billed once, when your trial ends, or when the subscription starts if there is no trial.
- Pay each invoice by the due date shown on it. Where withholding tax applies, send us the withholding certificate.
- If you think an invoice is wrong, tell us within 15 days and explain why. Pay the undisputed part while we review it.
- We will give at least 30 days' notice of any price change. New prices apply from your next renewal.
13.Term, renewal and cancellation
- Your subscription runs for the period in your Order (monthly or yearly) and renews automatically for the same period unless you cancel. We will remind you 15 days before a yearly renewal.
- You can cancel at any time by writing to info@ledger.et or from your account. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
- Fees already paid are not refunded, except for duplicate or wrong charges, where the law requires it, or as stated in section 16.
14.Support and maintenance
- Support is available by Telegram (t.me/ledgerethiopia) and email (info@ledger.et), Monday to Friday, 9:00 to 17:30 (East Africa Time), in Amharic and English. Chain and Enterprise plans receive priority support.
- We aim to reply quickly, but a reply time is not a guaranteed time to fix a problem.
- We announce planned maintenance in advance where possible. Urgent security work may take place without notice.
- We improve Ledger regularly. If we remove an important feature you pay for, we will give you reasonable notice and a fair solution.
15.Your data
- Your Customer Data belongs to you. You give Ledger only the rights needed to host, process, register, protect, back up and return it in order to provide the service.
- Your data is hosted in Ethiopia. Our Privacy Policy explains how we handle personal information.
- We keep your information confidential and limit access to the staff who need it. Each party keeps the other's confidential information private, unless it is public or the law requires disclosure.
- We may use anonymous statistics, which cannot identify you or your customers, to improve Ledger. We will not use your data to train general AI models.
16.Suspension and termination
- If an undisputed invoice is unpaid, we will send you a written reminder and give you 14 days to pay before we suspend the account.
- We may restrict access immediately in case of a serious security risk, illegal activity or an order from an authority. We will explain why as soon as it is safe to do so.
- Either party may end the agreement if the other seriously breaches it and does not correct the breach within 30 days of written notice.
- If we end the service without cause, or you end it because of a breach we did not correct, we will refund the prepaid period you have not used.
- Ending the agreement does not cancel unpaid fees, the duty of confidentiality or the duty to keep tax records.
17.Exports, retention and deletion
- You must keep the records the law requires. Export your data regularly; our backups are not your legal archive.
- After the agreement ends, your administrator can export your data for 30 days. We then delete it within 60 days, except data the law requires us to keep, which we keep only for that purpose. Backups are deleted on a rolling cycle.
- Deleting data from Ledger does not cancel invoices already registered with the Ministry.
18.Liability
- We provide Ledger with reasonable care and skill. We do not guarantee that it will run without interruption or errors, that the Ministry will accept every invoice, or any particular business or tax result.
- Neither party is liable for indirect losses, such as lost profits or lost business opportunities.
- Each party's total liability under this agreement is limited to the fees the Customer paid or had to pay in the 12 months before the event. During a free trial, the limit is ETB 10,000.
- These limits do not apply to fraud, deliberate misconduct, gross negligence, death or personal injury, or any liability that Ethiopian law does not allow to be limited. They do not reduce your duty to pay fees.
- You are responsible for claims from others caused by the data you enter or by your misuse of Ledger. We are responsible for claims that Ledger's software, used correctly, infringes someone else's intellectual property.
19.Events beyond control
Neither party is responsible for delays caused by events it cannot reasonably control, such as widespread power or internet failures, natural disasters or a shutdown of the Ministry's system. If such an event stops the service for more than 30 consecutive days, either party may end the affected service, and unused prepaid fees will be refunded.
20.Intellectual property
Ledger, its software, design and brand belong to Ledger Technology PLC. You keep the rights to your logo and your own materials. If you send us suggestions, we may use them to improve Ledger without payment. We will not use your name or logo publicly without your permission.
21.Personal data we process for you
When we process personal information about your customers, suppliers and staff, we act on your instructions:
- We use it only to provide the service and as the law requires.
- Our staff and providers who handle it must keep it confidential.
- We store it in Ethiopia, as Article 22 of the Personal Data Protection Proclamation No. 1321/2024 requires. Some support and email services may process limited information outside Ethiopia, with the safeguards the law requires (see section 8 of our Privacy Policy).
- We give you 30 days' notice before adding an important new provider. If you have a reasonable data protection objection and we cannot find a solution, you can end the affected service and receive a refund of unused prepaid fees.
- We help you answer people's requests about their data, and we inform you without delay of any security incident affecting this data.
- When the agreement ends, we return or delete the data as described in section 17.
You must have a legal basis for the personal information you enter and must inform your customers and staff where the law requires it.
22.Changes to these Terms
We may update these Terms. We will tell you about important changes at least 30 days in advance by email or in the platform. If you do not agree, you can cancel before they apply.
23.Notices
We send notices to the email address of your account administrator. Send notices to us at info@ledger.et. Please keep your contact details up to date.
24.Law and disputes
These Terms are governed by the laws of Ethiopia. If a disagreement arises, we will first try to solve it together within 30 days of written notice. If we cannot, the competent courts in Addis Ababa will decide.
25.General
If one clause is invalid, the rest remain valid. Not using a right immediately does not mean giving it up. You may not transfer this agreement to someone else without our consent. These Terms, your Order and our Privacy Policy form the whole agreement. These Terms are available in English and Amharic; if the two versions differ, the English version applies.
